Terms of Business

This document is the set of terms of business between Zest City Consultants, Inc. and its clients. The words "Zest City Consultants, Inc." "Zest City", and SearchEngineXperts.co.uk, refers to and is a trademark of Zest City Consultants, Inc. Limited, registered in England and Wales, and the State of Nevada, USA.

General Terms of Trade

Where Zest City Consultants, Inc. is involved as a supplier; these terms of business shall apply in the absence of overriding agreements. Zest City Consultants, Inc. and the client may have agreed other terms which may take precedence over specific parts of this agreement but not the agreement in its entirety:

Zest City Consultants, Inc. supplies Internet marketing advice as well as distinct products and services, which the client agrees to pay for.

Where Zest City Consultants, Inc. provides distinct products and general products and services not specified elsewhere in these terms:

- Zest City Consultants, Inc.'s indemnity is limited to the cost charged for that service.

- The buyer is liable to pay for the cost of that service at the point at which that service is provided.

- Where a price is not agreed in advance, then Zest City Consultants, Inc. shall charge an hourly rate of £60 per hour except when a retainer rate has been agreed.

- Where are retainer rate has been agreed and work is commissioned over and above this rate, Zest City Consultants, Inc. shall generally be limited to charging the same pro-rata rate for work carried out by its employees.

- Zest City Consultants, Inc. has the right to pass on costs incurred by Zest City Consultants, Inc. on behalf of its client.

Where Zest City Consultants, Inc. provides advice not specified elsewhere in these terms:

Zest City Consultants, Inc.'s advice may be based on opinion rather than fact, given the information known to the individual imparting that advice at the time.

Zest City Consultants, Inc. will endeavour to provide sound internet marketing advice, but will not liable for advice per se nor for actions carried out by the client as a result of that advice provided it was given with good intent and in any event will not be liable for more than the price charged for the advice.

Where Zest City Consultants, Inc. works on a retainer basis:

- Zest City Consultants, Inc. will not charge fees over and above this retainer level without prior agreement with the client. However, Zest City Consultants, Inc. may charge interest on late payments at 5% above the Bank of England base rate.

- The client agrees to pay regular retainers by standing order, credit or debit card, or in annual, 12 month payments (at a reduced rate) by means of standing order, credit or debit card, cash or cheque payment.

- The client agrees not to offer any direct employment to Zest City Consultants, Inc. staff within six months of the termination of any retainer based work without agreeing suitable compensation with Zest City Consultants, Inc. Limited to cover the loss of investment made by Zest City Consultants, Inc. in training its employee.

Domain Names:

In the course of its work, Zest City Consultants, Inc. may from time to time buy top level domain names.

Where domain names include brand names owned by the client, or domain names that closely imitate the corporate identity of the client, or contain generic terms that relate to the industry or service of the client, Zest City Consultants, Inc. agrees not to charge the client for any transfer of ownership that may be demanded at by the client at a later date. Where the client does not agree to accept ownership of these names, these domain names will remain our property until the time of renewal, at which point they can be registered by anyone, provided there are no conflicts with copyright or related legislation.

In the event that the client terminates its relationship with Zest City Consultants, Inc., Zest City Consultants, Inc. has the right to use domain names that it owns to promote other web sites, products or services in the future.

Use of Copyrights

The client grants Zest City Consultants, Inc. limited a non-exclusive license to use content from the client's web site or other literature for the purposes of promoting the client's interests only.

The client retains an absolute right to prevent Zest City Consultants, Inc. from using any material that remains copyright of the client should it see fit provided the client informs Zest City Consultants, Inc. of its wishes at that time.

Zest City Consultants, Inc. has the right to publicly name the client as being a client of Zest City Consultants, Inc.'s.

Interpretation of these terms

Zest City and SearchEngineXperts.co.uk are companies owned and managed by Zest City Consultants, Inc. incorporated in Nevada, USA.

- This agreement shall be interpreted under the laws of the State of Nevada, USA.

- In the event that one part of this agreement is not enforceable, this does not invalidate other parts of the agreement.
